DiTechSolutions.com the website(“Website”), including its subpages, and its related services are owned and run by DiTech Solutions LLC, a limited liability company registered in the state of New Jersey, United States of America (hereafter referred to as “DiTech Solutions”, “us”, “we”).
DiTech Solutions, provides services to students from academic institutions such as (K-12 schools, Colleges, and Universities) including IT/Cybersecurity professionals, Application and Software Developers with the opportunity to learn cyber-attack and defense tactics/maneuvers by training with real world threats on various hyper-realistic cloud based cyber simulator (“Cyber Range”) including on premise cyber ranges. The Cyber Ranges contain various levels of training scenarios based on the attendee’s skill level, with various training missions, wherein the participants must complete the assigned practical tasks, thereby learning how best to identify, respond, and mitigate the various types of cyber-attacks. The assigned tasks compliment relevant educational materials and courses, and in some instances are taught by an artificial intelligence “AI” tool/solution. These educational services are provided to you the participant for the sole purpose of being educated on cyber security tools, attack types, methodologies/techniques, and mitigation strategies, and may not be used for any other activity or purpose.
By accessing, registering an account, and or purchasing a course or product on the Website or using any part of our cloud or on premise Cyber Range you acknowledge that you have read, understood, and agree to be bound by these terms and conditions (“Terms & Conditions”). These Terms apply to all visitors, users and others who wish to access or use the Service. If you disagree with any of these terms, you are prohibited from accessing the services offered on this Website. The materials contained in this Website are protected by copyright and trade mark law belonging to DiTech Solutions and our partners.

Minimum Age
You must be at least 13 years old to access and participate on this site. You guarantee and warrant you are at least 13 years old and are able to enter into this Agreement from a legal perspective.
Children's Internet Protection Act (CIPA) Compliance
In accordance with CIPA, DiTech Solutions Cyber Ranges website has blocking and filtering measures in place to: ensure minors do not gain access to inappropriate matter on the Internet; safeguard personal information regarding minors; and, restrict minors' access to materials harmful to them.
Use License
Permission is granted to temporarily access a Cyber Range session and or download one copy of the materials on DiTechSolutions Website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
Modify or copy the materials;
Use the materials for any commercial purpose or for any public display;
Attempt to reverse engineer any software contained on DiTechSolutions Website;
Remove any copyright or other proprietary notations from the materials; or
Transferring the materials to another person or “mirror” the materials on any other server.
This will let DiTechSolutionsthe legal right to terminate upon violations of any of these restrictions. Upon termination, yourviewing right will also be terminated and you should destroy any downloaded materials in your possessionwhether it is printed or electronic format.
Registering the User Account
To use the Cyber Ranges, products and other services, you must register an account by following the registration process as described on the Website. Upon completion of the registration, you shall gain access to your DiTech Solutions account. By registering an account on the Website, you agree:
(i) to provide and keep the information about you and/or your organization as requested by DiTech Solutions accurate, current and complete;
(ii) to maintain the confidentiality of your password and other information related to the security of your account;
(iii) to be fully responsible for all use of your account and for any actions that take place through your account, including responsibility for compliance with all laws and regulations that are applicable to you or the content you use or create in connection with the Services.
By agreeing to these Terms, you represent that you are at least the age of 13, or the majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site. If you are registering with the Website as a business entity, you represent that you have the authority to legally bind that entity.
After registering an account, DiTech Solutions shall review your application before granting you access to the Cyber Ranges, products and other services. If DiTech Solutions suspects that the information you have provided is incorrect or you might use the Services in violation of these Terms, then in its sole discretion, DiTech Solutions may prohibit you access to its Services.
Your Restriction and Obligations
When using DiTech Solutions Website and/or the Cyber Ranges, products, cyber security tools and other services, you must not do any of the following:
(i) Use the Services or the cyber security tools provided to you in course of partaking in Cyber Ranges training in any manner or reason other than completing the task presented by the cyber simulator;
(ii) Share your account or account information with any other individual. Use of an account by more than one individual is strictly prohibited;
(iii) Carry out any activities in course of using the Services that is illegal, libelous, defamatory, abusive, threatening, harassing, hateful, offensive, causes damage to DiTech Solutions or any third party or otherwise violates any law or infringes upon the right of any third party;
(iv) Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services and/or the Website, unless to the extent as requested otherwise by DiTech Solutions in course of a specific practical task;
(v) Modify the tools and software underlying the Website in any manner or form or to use modified versions of such software, including (without limitation) for the purpose of obtaining unauthorized access to the Website, unless to the extent as requested otherwise by DiTech Solutions in course of a specific practical task;
(vi) Publish, post, upload, e-mail, distribute, or disseminate any inappropriate, profane, defamatory, misleading, infringing, obscene, indecent, or unlawful content;
(vii) Transmit files that contain viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another person's computer, services, Website, any software or hardware, or telecommunications equipment;
(viii) Probe, scan or test the vulnerability of the Website or circumvent any security mechanism used by the Website, unless tothe extent as requested otherwise by DiTech Solutions in course of a specific practical task;
(ix) Take any action that imposes an unreasonably or disproportionately large load on the infrastructure of the Website and/orservices.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the services, use of the services, or access tothe services or any contact on the Website, without express written permission by us.
You warrant that you own or have sufficient legal right to the intellectual property rights in any content you post or upload to theWebsite and posting or using such content does not violate applicable law or the rights of any third party. You hereby grant DiTech Solutions and its affiliates a lifetime, worldwide, irrevocable, royalty-free, nonexclusive, sub licensable right to use, reproduce,create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, distribute, and publish the content youpost on the Website for the purposes of;
(i) Displaying the content on the Website,
(ii) Processing the content in connection withproviding the Services,
(iii) Distributing the content, either electronically or via other media, and/or
(iv) Storing or hosting thecontent in a remote database or on the Website. This license will apply to the distribution and the storage of the content in anyform, medium, or technology now known or later developed.
Using the services and providing any content will not deem you to be a maker of any database provided on the Website in themeaning of EU Database Directive 96/9/EC.
DiTech Solutions reserves the right to suspend or terminate your access to its Cyber Ranges, products, and services immediately to any user, whose activity isdisrupting, causing harm to the services infrastructure or third parties, or otherwise violates the Terms. If DiTech Solutions terminatesyour access to our Cyber Ranges, products and service due to your breach of this Agreement, you shall forfeit any right to any refund for the subscriptionfees paid. You agree to reimburse DiTech Solutions for any expenses or costs, including consequential damages, we or anyone elsemay incur as a result of a breach of the foregoing representations and obligations.
IntellectualProperty of DiTech Solutions
All copyrights and any other intellectual property rights in relation to DiTech Solutions Website and/or products, Cyber Ranges and services shall remain the sole and exclusiveproperty of DiTech Solutions and where applicable our partners and you shall have no claim to it insofar as not stated differently herein.
DiTech Solutions grants you personal, non-exclusive, time limited, non-transferable, non-licensable and revocable license to use theWebsite and/or products, Cyber Ranges and services, for so long as you comply with the Terms. All rights not expressly granted in the Terms are reserved.
You may use the content on the Website and the services only for your personal use in connection with the products, Cyber Ranges and services. In course of providing products, Cyber Ranges and services, DiTech Solutions may provide certain educational information regarding cyber-attacks and defenseprocedures, cyber security tools, and artificial intelligence tool to facilitate your learning process.DiTech Solutions does notguarantee the accuracy and makes no warranties about the cyber security tools. The cyber security tools are for informationalpurposes only. You accept all risks regarding the inaccuracy or incompleteness of the cyber security tools. Notwithstanding anyother provision herein, the cyber security tools are provided only through the Website and services and you may not download,copy, distribute, or create derivative works of the cyber security tools.
Fees and Payments
In order to use the Cyber Ranges, courses, productsand other services you must make a onetime purchase or have a subscription plan in place. DiTech Solutions provides various individual plans, and different subscription plans depending on the participant knowledge and skill level, Cyber Ranges sessions,courses, and other products and services you want to access and whether you are registering as a student, professional, company or educational facility.

If you are obliged to pay a subscription fee, you will be charged monthly or yearly in advance (depending on your subscription plan) until the cancellation of your subscription plan.
Payments for all charges are payable upon registration or the relevant monthly or yearly payment date. You can pay membershipfees via credit card or bank transfer, if so provided.
If you change your subscription plan and the subscription fee reduces, the changes will take effect in your next membershipmonth or year following the notification. If, as a result of changing the subscription plan, the subscription fee increases, then change will take effect from the date of notification.
If you wish to purchase any Cyber Ranges, courses, other products and services made available through the Website, you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
The service may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
Cancellation Policies
Course Cancellation Policy
DiTech Solutions may postpone any instructor led class if there is a low enrollment. DiTech Solutions will notify you if this occurs within a week before the start date of the class. You will have the option of a refund or transfer to the next available offering of the same course.
Student Cancellation Policy
Individuals who cancel a confirmed enrollment less that ten business days before the Instructor led class and fails to provide a qualified replacement to fill the enrollment will be billed 35 percent of the full class fee (list price). Individuals who cancel a confirmed enrollment less than five business days before the class and fails to provide a qualified replacement to fill the enrollment will be billed for 100 percent of the full class fee (list price). Those who fail to appear for training as scheduled will be billed for 100 percent of the full class fee (list price).
Cancelling Your Subscription
You may cancel your subscription at any time by following the instructions in your profile menu on the Website. Cancellation willtake effect from the next monthly payment date and you will not be entitled to a refund for the monthly subscription fee alreadypaid.
DiTech Solutions may cancel your subscription and access to the Services at any time by giving you five-days prior notice. In suchcase DiTech Solutions shall refund you the subscription fee for the unused period. No prior notice is necessary and you shall not havethe right to any refund if DiTech Solutions cancels your subscription and access to Services due to your breach of these Terms.
Availability, Errors and Inaccuracies
We are constantly updating products and service offerings on the Cyber Ranges. We may experience delays in updating information on the Cyber Ranges and in our advertising on other web sites. The information found on the Cyber Ranges may contain errors or inaccuracies and may not be complete or current. Products or services may be mispriced, described inaccurately, or unavailable on the Cyber Ranges and we cannot guarantee the accuracy or completeness of any information found on the Cyber Ranges.
We therefore reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Our Website may contain links to third party web sites products or services that are not owned or controlled by DiTech Solutions. Thus DiTech Solutions shall not be held responsible for the contents of any such linked partner sites. The use of any linked website is at the user’s discretion.

Termination

Miscellaneous
This Agreement is governed by the internal laws of the State of New Jersey, U.S.A. You hereby consentto the exclusive jurisdiction and venue of courts in New Jersey, USA in all disputes arising out of orrelating to the use of the DiTech Solutions Web Site.
